Traditionally, online contracts have not commonly been used in Japan and most contracts have been signed on paper, although recently the use of online contracts is being offered by more and more Japanese companies. Nevertheless, at present the predominant method of executing contracts is still on paper.
In case of a violation of the Subcontracting Act, the Japan Fair Trade Commission (JFTC) may issue a request for payment of interest for delay to the main contractor. In addition, if the main contractor does not comply with the request, a cease-and-desist order or a payment order by the JFTC based on the Anti-Monopoly Act may be issued.
(2) No main subcontracting entrepreneur shall, in cases where it concludes a manufacturing or other contract with a subcontractor, unjustly injure the interests of the subcontractor by effecting any one of the acts listed in the following items (excluding item (i) in the case of service contract):
Under Japanese law, the principle of freedom of contract is upheld, and a contract is formed based on freedom to offer and freedom to accept. Therefore, in principle, each individual is free to decide whether to conclude a contract and with whom to conclude a contract.
The Japan Fair Trade Commission issues guidelines for the Subcontract Act ("Guidelines") that provide detailed interpretations and specific examples of prohibited trade practices. On December 14, 2016, the Guidelines were amended in order to further strengthen enforcement of the Subcontract Act.
The purpose of this Act is, by preventing a delay in payment of subcontract proceeds, etc., to ensure that transactions between main subcontracting entrepreneurs and subcontractors are fair and, at the same time, to protect theinterests of the subcontractors, thereby contributing to the sound development of the national economy.
Through this amendment, it is expected that there will be even stronger enforcement of the Subcontract Act, and therefore companies that regularly engage in subcontracting transactions will need to verify, using the amended Guidelines, that their transactions and trade practices do not violate the Subcontract Act. Four types of transactions are subject to the Subcontract Act—manufacturing contracts, repair contracts, information-based product creation contracts, and service contracts. Subcontracting Companies are prohibited from engaging in 11 types of trade practices with respect to these four types of transactions.
